Kroger Agrees to Acquire Giant Eagle for $1.65 Billion
Kroger has agreed to acquire grocery chain Giant Eagle for approximately $1.65 billion. The transaction values Giant Eagle at $1.25 billion, with the remaining $400 million consisting of assumed liabilities. Giant Eagle operates 197 supermarkets and 11 pharmacies across Ohio, Pennsylvania, West Virginia, Maryland, and Indiana. The companies stated the deal is expected to close in 2027.
The acquisition follows Kroger’s failed $25 billion merger with Albertsons, which was blocked by regulators in June 2024. It reflects a broader consolidation trend in the grocery sector as supermarkets combine operations to compete with big-box retailers like Walmart and Amazon amid inflation and cost pressures. Kroger said it expects the Giant Eagle deal to be accretive to adjusted earnings per share in the second full year after closing.
