SpaceX IPO Reserves 5% of Shares for Employees, Friends and Family With No Lock-Up
SpaceX said in an amended S-1/A that underwriters have reserved up to 5% of the shares in its initial public offering for sale at the IPO price through a directed share program for certain employees and other people chosen by executive officers, including business partners and executives’ friends and family. Shares bought through the program won’t be subject to lock-up restrictions, reducing the stock available to the general public, while any portion not purchased will be offered to public investors.
The filing said more than 60% of SpaceX’s shares outstanding immediately before the offering, including Elon Musk’s holdings, will remain subject to extended lock-ups, with Musk’s stake locked for 366 days. It also detailed an Anthropic compute lease covering about 325,000 Nvidia GPUs, plus hyperscale-class CPUs, exabyte-scale storage and high-speed networking, though SpaceX’s chief executive later described that arrangement as short term. SpaceX is seeking at least a $1.8 trillion valuation, and the IPO is drawing scrutiny over how quickly major indexes may add the stock after listing.
