SpaceX Presses Banks to Cut IPO Fees Below 0.75% on $75 Billion Offering
SpaceX is pressing Wall Street banks to accept underwriting fees below 0.75% for its planned $75 billion initial public offering, a rate that would be unusually low for a deal of that size even as banks still stand to split about $500 million. The company is targeting a valuation of at least $1.8 trillion, which would make the share sale the largest stock market listing on record.
The fee talks follow an amended S-1/A filed without pricing terms that reserved up to 5% of IPO shares for certain employees and people chosen by executive officers, including friends and family, with no lock-up restrictions. More than 60% of shares outstanding before the offering, including Elon Musk's stake, would remain under extended lock-ups, and index providers have shortened waiting periods for inclusion to 15 trading days for Nasdaq and five days for FTSE Russell, with some estimates suggesting passive S&P 500 funds could absorb about 19% of the public float within six months.
