SEC Proposes Biggest IPO and Disclosure Rule Overhaul in Decades
The US Securities and Exchange Commission proposed two rulemakings that would amount to its biggest overhaul of IPO and disclosure rules in decades, part of an effort to encourage more companies to go public and let newly listed issuers raise capital more quickly after listing. The agency said the measures would simplify public-company reporting and make registered offerings more efficient and less costly.
The package would expand access to shelf offerings and let some large new issuers temporarily avoid some of the SEC’s toughest disclosure requirements until they reach a higher valuation threshold. Chair Paul Atkins said the proposals would make it easier for companies to “go and stay public” and help strengthen US public capital markets.
