onsemi Agrees to Acquire Synaptics in $7 Billion All-Stock Deal
US chipmaker onsemi has agreed to acquire Synaptics in an all-stock transaction with a total enterprise value of approximately $7 billion. The definitive agreement sets a fixed exchange ratio of 1.350 shares of onsemi common stock for each Synaptics share, representing an approximately 19% premium to the volume-weighted average closing prices of both companies over the past 10 trading days. The acquisition combines onsemi’s semiconductor power and sensing technologies with Synaptics’ edge AI and display interface solutions to expand into the physical AI market.
Synaptics shareholders will own approximately 12% of the combined company, which is expected to close in mid-2027 subject to standard regulatory approvals. The transaction is projected to generate $200 million in annual cost synergies. Based in Tempe, Arizona, onsemi designs chips for electric vehicles and industrial equipment, while Synaptics specializes in connectivity and power-management semiconductors for smart devices.
