Synopsys Adds Elliott’s Jesse Cohn to Board Under Deal Capping Stake at 4.9%
Synopsys reached a cooperation agreement with activist investor Elliott and will appoint Jesse Cohn to its board, expanding the chip-design software maker’s board to 11 members. Cohn’s appointment is set to take effect on June 1, 2026.
The agreement includes a standstill that caps Elliott’s ownership at 4.9% and its economic exposure at 7.5% during the cooperation period, while generally requiring the firm to vote with the board. That standstill would automatically end if Synopsys signs acquisitions worth more than 30% of its market capitalization during the period.
